Terms of Service

1. Acceptance of Terms

By accessing or using any product or service operated by Robot in the Loop Technology Inc. ("Robot ITL", "we", "us", "our"), including the Robot billing portal, Inque, and any related applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree, you must not use the Services.

2. Description of Services

Robot ITL provides a suite of AI-powered productivity tools: • Robot (www.iamtherobot.io): centralized billing portal, organization management, subscription management, usage analytics, and account administration for all Robot ITL products. • Inque (inque.ai): document upload, semantic alignment, AI-powered chat, analysis, report generation, and cloud-file integration (Google Drive, SharePoint). • Additional products (Aether, Otto, and others) may be added over time. Features may evolve; material changes will be communicated in-app or via email.

3. Accounts and Organizations

  • You must provide accurate and complete registration information and keep it current.
  • You are responsible for safeguarding your credentials and for all activity that occurs under your account.
  • Organization owners and admins are responsible for managing membership, roles, and billing for their organization.
  • You must notify us immediately at support@iamtherobot.io if you suspect unauthorized access to your account.

4. Acceptable Use

You agree not to:

  • Upload, transmit, or process content that is unlawful, harmful, threatening, defamatory, or infringing.
  • Submit protected health information (PHI) unless you have a lawful basis and have executed an appropriate agreement (e.g., a BAA) with us.
  • Use the Services to develop competing products by systematically extracting data or reverse engineering our systems.
  • Attempt to circumvent security controls, access controls, rate limits, or usage quotas.
  • Interfere with or disrupt the Services or the servers and networks that host them.
  • Use the Services for surveillance, unauthorized data collection, or any purpose prohibited by applicable law.
  • Share your account credentials or allow others to access your account.
  • Use automated means (bots, scrapers) to access the Services except through our documented APIs.

5. Data Ownership and Licenses

You retain all ownership rights to your content — including uploaded documents, chat messages, generated reports, and analysis outputs ("Your Content"). By using the Services, you grant Robot ITL a limited, non-exclusive, revocable license to process Your Content solely to provide and improve the Services. We do not use Your Content to train AI models. Robot ITL retains all rights to the Services, including software, design, trademarks, and documentation.

6. AI-Powered Features

The Services include features powered by third-party AI models (e.g., OpenAI, Anthropic, Google Gemini, Mistral, Azure OpenAI). When you use these features, relevant content is sent to the configured provider for processing. AI-generated outputs are provided for informational purposes only. You are solely responsible for reviewing, verifying, and making decisions based on AI outputs. Robot ITL does not guarantee the accuracy, completeness, or fitness of AI-generated content for any particular purpose. If you use Bring Your Own Key (BYOK) mode, your interactions with the AI provider are additionally governed by that provider's terms of service.

7. Third-Party Integrations

The Services may integrate with third-party platforms including Google Drive, Microsoft SharePoint, Stripe, and various AI providers. These integrations are controlled by you — enabling them may transfer data to the selected provider under their own terms and privacy policies. We are not responsible for the availability, accuracy, or policies of third-party services. You should review the terms of any third-party service before connecting it to the Services.

8. Subscriptions, Billing, and Payments

  • The Services may include free and paid tiers. Paid subscriptions are billed through Stripe on a monthly or annual basis as selected at checkout.
  • Subscription fees are non-refundable except where required by applicable law or as otherwise stated in writing.
  • If you enable overage billing, additional charges will accrue based on token usage beyond your plan's included quota, at the published per-unit rate.
  • We reserve the right to change pricing with at least 30 days' notice. Price changes apply at the start of your next billing cycle.
  • Organization owners and admins are responsible for ensuring valid payment methods are on file and that invoices are paid on time.
  • Failure to pay may result in suspension or downgrade of your subscription.

9. Usage Quotas and Limits

Each subscription plan includes a monthly token quota. Usage beyond the quota may be blocked unless overage billing is enabled. We reserve the right to impose rate limits, file-size limits, and other operational limits to maintain service quality for all users.

10. Termination

You may stop using the Services and close your account at any time by contacting support@iamtherobot.io. We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, fail to pay applicable fees, or if necessary to protect other users or the integrity of the Services. Upon termination, we will handle your data in accordance with our Privacy Policy. You may request export or deletion of Your Content prior to account closure.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy or reliability of any AI-generated content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBOT ITL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). IN NO EVENT SHALL ROBOT ITL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY.

13. Indemnification

You agree to indemnify and hold harmless Robot ITL, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third party's rights.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

15. Changes to These Terms

We may update these Terms as the Services evolve. Material changes will be communicated via in-app notice or email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you disagree with the changes, you should discontinue use before the effective date.
